These Terms of Service ("Terms") govern your use of the services provided by Quizzy Edtech Services Private Limited ("Quizzy," "we," "us," or "our"). By engaging our services, you agree to be bound by these Terms.

1. Services
Quizzy provides managed distribution execution services, including but not limited to:
- Execution Health Check: A diagnostic assessment of your current distribution and content operations, delivered as an execution map with recommendations.
- Managed Execution: Ongoing management of creator networks, content posting, workflow coordination, and operational oversight.
- AI Operations: Custom AI-powered tools and workflows to enhance content quality and operational efficiency.
- Data Analytics: Performance tracking, reporting, and strategic insights based on execution data.
- Weekly Governance: Regular check-in calls to review execution metrics and align on priorities.
2. Engagement Process
All engagements begin with the Execution Health Check. Following the Health Check, we will provide a proposal outlining the scope of ongoing services, pricing, and terms specific to your engagement. A separate Service Agreement or Statement of Work may be executed for ongoing services.
3. Pricing and Payment
- Health Check: Pricing for the Execution Health Check will be communicated prior to engagement. Payment is due before the Health Check begins.
- Monthly Retainers: Ongoing services are billed on a monthly basis. Invoices are issued at the beginning of each month and are due within 15 days of invoice date.
- Currency: All payments are in USD unless otherwise agreed in writing.
- Taxes: Prices are exclusive of applicable taxes. You are responsible for any applicable GST, VAT, or other taxes as required by law.
- Late Payments: Late payments may result in suspension of services. We reserve the right to charge interest on overdue amounts at 1.5% per month or the maximum rate permitted by law, whichever is lower.
4. Client Responsibilities
To enable us to deliver services effectively, you agree to:
- Provide timely access to necessary accounts, platforms, and information
- Respond to queries and approve deliverables within reasonable timeframes
- Attend scheduled governance calls or provide adequate notice for rescheduling
- Provide accurate information about your content strategy and requirements
- Ensure you have the rights to any content or materials you provide to us
5. Intellectual Property
- Your Content: You retain all rights to your content, brand assets, and materials. You grant us a limited license to use these materials solely for providing the services.
- Our Tools: We retain all rights to our proprietary tools, workflows, templates, and methodologies. These remain our intellectual property even when customized for your use.
- Deliverables: Upon full payment, you own the specific deliverables created for you (e.g., execution maps, reports). However, underlying methodologies and frameworks remain our property.
6. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This includes business strategies, operational data, financial information, and any information marked as confidential. This obligation survives termination of the engagement for a period of two (2) years.
7. Term and Termination
- Health Check: The Health Check engagement concludes upon delivery of the execution map.
- Monthly Services: Either party may terminate ongoing services with 30 days written notice.
- Immediate Termination: We may terminate immediately if you breach these Terms, fail to make payment, or engage in conduct that harms our reputation or operations.
- Effect of Termination: Upon termination, you will pay for all services rendered up to the termination date. We will provide reasonable transition assistance and return any client materials in our possession.
8. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability for any claims arising from our services shall not exceed the fees paid by you in the three (3) months preceding the claim.
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
- We do not guarantee specific results, including views, engagement, revenue, or growth metrics. Results depend on many factors outside our control.
9. Indemnification
You agree to indemnify and hold harmless Quizzy, its directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from: (a) your breach of these Terms; (b) your content or materials infringing third-party rights; (c) your violation of applicable laws or regulations.
10. Warranties and Disclaimers
We provide services with reasonable skill and care. However, services are provided "as is" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that services will be uninterrupted, error-free, or meet your specific requirements.
11. Governing Law and Disputes
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts in Kolkata, West Bengal, India. Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation.
12. Modifications
We reserve the right to modify these Terms at any time. Material changes will be communicated to active clients via email. Continued use of our services after changes constitutes acceptance of the modified Terms.
13. General Provisions
- Entire Agreement: These Terms, together with any Service Agreement or Statement of Work, constitute the entire agreement between the parties.
- Severability: If any provision is found invalid, the remaining provisions shall continue in effect.
- Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
- Assignment: You may not assign your rights under these Terms without our written consent.
- Force Majeure: Neither party shall be liable for delays caused by circumstances beyond reasonable control.
